Plaintiff demands access from business partner accused of withholding corporate records
Chirag Patel has filed a lawsuit demanding the right to inspect corporate records from a Florida-based company. On April 25, 2025, Patel lodged a formal complaint in the Circuit Court of the Fifteenth Judicial Circuit in Palm Beach County against Onyx Viera Holdings, LLC. The case highlights Patel’s ongoing struggle to access crucial corporate documents that he believes are rightfully his to review as a member of the company.
According to the complaint, Chirag Patel is not just an outsider but a member of Onyx Viera Holdings, LLC. His requests for access date back to 2023 and continued into 2024, yet each attempt was met with silence or outright denial. This culminated in a formal request on April 11, 2025, under Florida Statute § 605.0410, which mandates companies to allow members access to certain records. Despite following the legal procedure prescribed by law, Patel received no response from Onyx Viera Holdings.
Patel’s lawsuit invokes Fla. Stat. § 605.0411, which supports his claim for a court-ordered inspection of the company’s records. He argues that he is entitled to this inspection and copying of records as per statutory rights granted under Florida law. The plaintiff asserts that all conditions precedent have been satisfied or waived and insists that there is no legitimate reason for denying him access.
