Dental Investor Alleges Fraud Against Management Firm Over Equity Conversion
Robert Rodriguez has filed a lawsuit that could shake up the business dealings of several prominent dental management entities. The complaint, filed on April 25, 2025, in the Circuit Court of the Fifteenth Judicial Circuit in Palm Beach County, Florida, targets One Bridge MSO LLC and its associates for allegedly undermining his equity interests through deceitful practices.
The plaintiff, Robert Rodriguez, claims that he was wronged by One Bridge MSO LLC and several individuals including Edward Gelfand, Jacob Elefant, Jared Helfant, Robert Klimov, and Independence Dental Management. According to the filing, Rodriguez previously held a 25% beneficial interest in a group of dental offices that were sold to an entity managed by One Bridge MSO LLC. Despite being promised forgiveness of a promissory note by June 5, 2025—an agreement made to avoid tax implications—Rodriguez asserts that no proceeds were distributed to him at closing. Instead, he alleges that defendants attempted to coerce him into converting his equity into stock without consent or proper disclosure.
The lawsuit outlines multiple grievances against the defendants. Rodriguez accuses them of breach of contract for failing to pay distributions and withholding crucial financial documentation. He also alleges fraudulent inducement by Gelfand and Radu Olteanu who assured him verbally about forgiving the note—a promise he claims was never intended to be honored. Additionally, Rodriguez charges them with breach of fiduciary duty for concealing information and acting in bad faith. Furthermore, Independence Dental Management is accused of tortious interference by ignoring his ownership claims while finalizing acquisitions tied to his equity.
